Nonprofit organizations operate under intense public scrutiny. No activity is subject to more scrutiny than a nonprofit organization�s conversion into a for-profit organization. Conversions must be carefully approached and structured with an eye towards how the IRS, Attorney General and/or the public at large will perceive them.There is little room for error. This topic delivers a crash course for persons tasked with advising a nonprofit whether and how to convert into a for-profit. We will
walk through the relevant legal backdrop, various methods for converting, as well as common pitfalls and traps for the unwary. Failure to properly approach and consummate such conversions can result in significant liabilities including, but not limited to, retroactive revocation of exempt status, expensive Attorney General and/or IRS investigations and excise taxes against the fiduciaries and individuals approving the conversions. This topic will ensure nonprofits and their advisors approach
conversions with their eyes wide open and are able to utilize various prophylactic measures to protect them.

While peasant actions on the ground continued in the form of #MayDay and
#MarchAgainstMonsanto and several other mobilizations, the month of May
was crucial on three fronts: the engagement with the CSM within of FAO
on the question of connecting small hold farmers to territorial markets;
the push for a global declaration on the rights of peasants and other
people working in rural areas; and a public hearing at the European
Parliament to bring forth human rights violations and abuses by
transnational corporations across the world. This edition of the

The _March against Monsanto_, that took place around the world on May
21, is a people's response to denounce intensive agriculture , using

Monsanto is the global symbol but not the sole representative (Dow

corporations are scrambling to expand their markets in seeds,
fertilisers, agrochemicals and land. But small-scale farmer

land, seeds and soil. Aid donors need to decide; is aid money there to
help small-scale farmers get better access to chemical free technologies

(June 13th, 2016) On June 10th, La Via Campesina, together with members
of the Political Coordination Committee, held a public event in Derio to
mark the beginning of the process leading to the 7th International
Conference, which will be held in the Basque country in July 2017. The
International Conferences take place every four years. They constitute
La Via Campesina's highest collective decision-making body and its most
important space for debate and discussion and for developing a
mobilisation agenda for the peasant and farmer movement.
La Vía Campesina has constructed a global and politicised peasant and
farmer identity that is connected to the land and to the building of
Food Sovereignty, through the provision of healthy,
agroecologically-produced food for the population. It is opposed to the
neoliberal agribusiness model and to the large multinational
corporations as well as to the support that they receive from
governments. Its member organisations represent the sectors that have
been most affected by the globalisation of food production: small and
medium farmers, farmworkers, the landless, rural women, indigenous
peoples. La Via Campesina has brought together organisations from all
over the world, effacing the division between the global North and
South. At the present time, it is comprised of 9 regions with member
organisations in Africa, Asia, Europe, Asia, and the Americas.
La Vía Campesina's previous six International Conferences took place in
Mons, Belgium (1993); Tlaxcala, Mexico (1996); Bangalore, India (2000);
Sao Paulo, Brazil (2004), Maputo, Mozambique (2008) y Jakarta, Indonesia
(2013).
"We have created a political heritage based on a common vision, which
has helped us to understand the world and the future, and which has
allowed us to develop a capacity for mobilisation that is both local and
global. We realise that all over the world women and men peasants and
small-scale farmers have the same problems and that they need to be
united in facing them", said Marina Dos Santos, a member of the
International Coordinating Committee.
In little more than twenty years, La Vía Campesina has become one of the
world's largest social movements and perhaps the most representative
movement in the history of agriculture. Today, La Vía Campesina is
present in 73 countries; it thas 164 member organisations with a total
membership of more than 200 million people, who have joined together to
change the world.

A WAKE-UP CALL TO THE WORLD; THERE IS NO MORE TIME LEFT!
In the early morning of March 3rd, 2016, our sister in struggle Berta
Cáceres, the General Coordinator of the Civic Council of Popular and
Indigenous Organisations of Honduras (COPINH), was assassinated.
On numerous occasions, Berta Cáceres had expressed her opposition to the
present government's disastrous policies regarding natural resource
concessions. She had also spoken out against the actions of
transnational companies and the detrimental effects of their land
acquisitions and dam building projects on the natural resources of the
indigenous peoples.
In response to her struggle against these foreign companies and their
destruction of natural resources, the Honduran government itself
subjected Berta Cáceres to punitive measures,
Nevertheless, when she was awarded the prestigious Goldman Environmenal
Prize for her defence of her country's natural resources, the whole
world recognised Berta Cáceres' courage as a human rights defender. See

La Vía Campesina remembers and commemorates our sister Berta Cáceres'
historic struggle, at the side of the Honduran people, for the right to
land - her struggle for the defence of their sovereignty, for
comprehensive land reform, and for the Food Sovereignty of the Honduran
people.
It is in this context that we condemn the situation of systematic human
rights violations with which Honduras is confronted. The death rate in
Honduras is higher than that of a country at war. We stand by Honduran
peasants in their legitímate demands for access to land and for Food
Sovereignty. Through our communications media and together with our
allies, we will continue to report on and to condemn the criminalisation
of the women and men peasants of Honduras.

Coinciding with the 49th anniversary of the Israeli occupation of the West
Bank and Gaza Strip, Sinai, and the Golan Heights, the World today reviving
the World Environment Day; World Environment Day was first established to be
celebrated every year by running some effective campaigns by the United
Nations General Assembly and United Nations Environment Programme (UNEP) in
the conference on Human Environment in Swedish capital Stockholm in 1972.
The Union of Agricultural Work committees would like to convey its greetings
to all of its friends and activists around the world participating in the
commemoration of the World Environment Day; we believe that the constant
Israeli occupation of our land will remain an obstacle in the face of our
enjoyment of our natural resources, particularly our land and water
resources as well as our enjoyment of a clean environment that are free from

>From 13 to 17 April 2016, in Marabá, Pará, Brazil, more than 130
delegates from 28 countries around the world were brought together as
part of La Vía Campesina and allied movements, as part of the
International Conference on Agrarian Reform, a symbol of the fight for
freedom for men and women in the fields, the mangroves and on the sea.
The aim of the conference was to draw up a much-needed proposal for
Popular Agrarian Reform to override capitalist and neoliberal expansion.
At this time of struggle and resistance for peoples of the world, we
debated the_criminalisation, persecution and judicialization of the
struggle for the defence of life, rights, land, water, seeds and mother
earth_, promoted by capitalist interests imposing political, economic,
military and social terrorism. This all occurs with the consent of State
Governments by means of their lethal projects such as extraction-based
infrastructure projects, or capitalist 'development' (tourism, carbon
markets, mining, hydroelectricity, monoculture, agribusiness, industrial
agriculture and mariculture), as well as the militarisation of our
lands. Deprivation, social instability and repression are widespread as
a result of systematic assassinations, massacres, forced disappearances,
high rates of femicide, imprisonment and arbitrary detention,
intimidation, harassment and threats, prosecution of leaders, forced
migration and wars against ordinary people.
On top of this there is political instability with the purpose of
maintaining an imbalance among populations over the world, as well as
frequent coups on the US government's radar, a state which begins by
creating unstable, failed states, as is the case in Honduras, Guatemala,
El Salvador, Paraguay, Ecuador, Bolivia, South Africa, and the current
attempted coup against the Brazilian people and the systematic meddling
in the Venezuelan process.
We see collusion between the State, private companies, corporations and
elites who create a culture of impunity that allows perpetrators to
escape unpunished.
Faced with this wave of unbridled criminalisation of those of us who
defend water, land, mangroves, sea, territory and life, we denounce and
call for the punishment of those responsible for thousands of
assassinations of social leaders, we denounce the legal prosecution of
thousands of campaigners, we call for the liberation of thousands of
political prisoners, we denounce the extreme case of the assassination
of Berta Cáceres, one of the most symbolic leaders in the fight against
capital plundering and a campaigner for peace in Honduras. We urgently
need an end to the criminalisation of the fight for land, mangroves and
sea, and the social struggle.
Today, more than ever, we reaffirm that our fight is part of the defence
of human rights and life. For life we give everything, for death we give
nothing.
